全文共分四章，第一章概述了公司资本及公司资本制度，为下文的论述打下基础。第二章从比较法角度对两大法系的公司资本制度进行研究，借以开阔视野，取长补短。由于我国公司资本制度立法走的是大陆法严格的法定资本制，资本三原则是其灵魂，因此在第三章，笔者论述了在新经济时代下，资本三原则遭遇的危机及目前的世界潮流，揭示了我国资本制度改革的时代背景。
