    本文首先回顾了股票期权制在国内外的发展及较为详尽的分析了股票期权制度的相关理论:阐述了其涵义,特征,理论基础,激励效应并于其他几个较易混淆的股权激励机制作逐一的比较,以进一步澄清人们对其的错误认识;同时,对股票期权制在美国和我国的现状进行深入的实证研究,探求其内在规律,在肯定其成果时指出其不足;至此,笔者认为,我国上市公司要推行股票期权制度将主要面临以下四类障碍:公司治理结构不完善、市场有效性差、现行法规体系不完善及缺乏客观的业绩考评指标体系,并详细分析了各类障碍的现状及对股票期权制的负面影响;在此基础上,针对各类障碍的不同性质,着手探讨消除这些障碍的措施:对于股票期权制内部的缺陷,本文先对各个关键要素进行科学设计,系统的剖析了赠与、变更、丧失、执行方式、股票来源等技术性问题,再以大量篇幅研究了如何构建出一套与实施股票期权制相配套的业绩考核指标体系,引进平衡计分卡的思想对国内现有的指标体系加以改进,以一组合理的评价原则为指导,从公司及员工个人业绩考评两个层面上来设计该指标体系。
