The supplier shall defend , indemnify and hold the buyer , its dealers and users harmless from any and all damages , liabilities , costs and expenses ( including but not limited to attorney ' s fees ) incurred by the buyer as a result of any claim , judgment or proceeding against the buyer or any of its customers or dealers in which it is determined or alleged that the product infringes any patent , copyright , trademark , trade secret or other proprietary or contractual right of any third party , based on any product or any other materials furnished by the supplier
