If the borrower is a corporation , the person signing the confirmation on the reverse side of these terms and conditions warrants that by its memorandum and articles of association or other applicable constitutional documents the borrower is authorized to execute and be bound by the terms of these terms and conditions and that the person signing on behalf of the borrower is duly authorized so to do and that the borrower has the necessary corporate power and the legal capacity to enter into , exercise its rights and perform and comply with its obligations under these terms and conditions
如借款人为一机构，则代表借款人签署本确认函的人士兹保证，按照其公司组织章程或其他适用的组成文件，借款人有权签立本确认函并受本文的所有条款及细则所约束，而代表借款人签署本函的人士已被正式获授权签署本函，同时借款人拥有必要的法团权力及法律资格订立、行使其在本贷款下的权利以及履行和遵守其在本贷款条款下的责任。
