在构成要件部分，笔者以各国票据立法为基础，结合案例分析，重新阐释了票据权利善意取得的四个构成要件，即有效票据转让行为、让与人无处分权、受让人善意和相当对价；在法律后果部分，笔者在强调了票据权利善意取得制度旨在调整真正权利人与善意受让人的关系，使善意受让人得以终局地取得票据权利，真正权利人不得对其请求回复和赔偿之外，对该制度所引发的间接后果，即真正权利人与无处分权人、无处分权人与善意受让人之间的利益分配和责任承担进行了全面分析。
